Despite Covid-19, this firm is expanding to keep up with client needs and will be conducting video interviews. Matters are leanly staffed and associates are expected to assume significant responsibility for managing cases, and for client contact. Business development activities are encouraged and supported. The firm also has an impressive record for promoting associates to partner. Top writing skills and academic credentials are required and the firm has an 1800 billable target with guaranteed bonuses at 1800 hours and 1900 hours. Top transactional boutique is adding a 3rd-5th year and a 6th-9th with M&A/general corporate experience. The more junior position requires experience with M&A due diligence and preparation of disclosure schedules and diligence memos, as well as experience drafting M&A ancillary documents (Bills of Sale, Assignment and Assumption.) The more senior position requires experience drafting/negotiating NDAs, LOIs, IOIs and M&A transaction documentation, including, without limitation, purchase agreements and ancillary documents. The candidate must have second chair M&A transactional experience and must have experience drafting/negotiating multi-member LLC Agreements, Employment Agreements and Consulting Agreements. The firm has a true 1800 hour requirement.

One position requires someone who has significant public company securities experience; the other positions are general corporate. The firm will consider senior associates, counsels or partners and each attorney must have at least $300K in portable business. The firm’s partner billing rates range from high $400.00s-$600.00s.
